These Terms of Service (the "Terms") are a binding agreement between you, or the entity you represent ("you"), and Tera Compute Inc. ("Tera," "we," or "us"). They govern your access to and use of Tera's model inference API, dashboard, websites, and related services (together, the "Services"). By creating an account, generating an API key, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Tera provides access to large language models and related inference capabilities through API endpoints, along with tooling to manage API keys, monitor usage, and handle billing. Some models run on infrastructure that Tera operates directly; others are served by routing your request to a third-party model provider. Use of any model is also subject to our Model Terms, which describe additional terms that apply to specific models and their underlying providers.
You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for the information you provide when registering and for keeping it accurate. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
API keys authenticate requests to the Services and must be kept confidential. You are responsible for all activity that occurs under your account and keys, including usage and charges, whether or not you authorized it. Do not share keys, embed them in client-side code, or expose them publicly. Notify us promptly at hello@tera.gw if you believe a key has been compromised. You may rotate or revoke keys at any time from the dashboard.

We may suspend or limit access to investigate suspected violations or to protect the Services and their users.
The Services are billed based on usage, typically by token volume, at the rates published on our website or in the dashboard. Prepaid credits are consumed as you use the Services and are non-refundable except where required by law. You authorize us and our payment processor to charge your payment method for amounts you incur, including applicable taxes. We may change pricing prospectively; the rates in effect when a request is made apply to that request.
"Inputs" are the prompts and data you submit to the Services; "Outputs" are the responses generated for you. As between you and Tera, you retain your rights in your Inputs and Outputs, and you are responsible for them and for ensuring you have the rights needed to submit them. You grant us the limited rights necessary to operate the Services, such as transmitting and processing your Inputs to generate Outputs. Our handling of Input and Output content is described in our Privacy Policy. Because of how generative models work, Outputs may not be unique to you and may not be accurate; you are responsible for evaluating Outputs before relying on them.
We are continually improving the Services and may add, change, or discontinue features, models, or endpoints. We aim to provide reasonable notice of material changes that adversely affect your use, but we do not guarantee uninterrupted or error-free availability.
The Services and all Outputs are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Outputs will be accurate, complete, current, or suitable for any purpose.
To the maximum extent permitted by law, Tera and its suppliers will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, revenue, data, or goodwill. Our total liability for any claim arising out of or relating to the Services or these Terms will not exceed the amounts you paid to us for the Services in the twelve months before the event giving rise to the claim.
You will defend, indemnify, and hold harmless Tera from and against any claims, damages, and expenses (including reasonable legal fees) arising out of your Inputs, your Outputs, your use of the Services, or your violation of these Terms or applicable law.
You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, if required to protect the Services or comply with law, or for prolonged inactivity. Provisions that by their nature should survive termination will survive, including sections on fees owed, your content, disclaimers, limitation of liability, and indemnification.
We may update these Terms from time to time. When we make material changes, we will update the version and effective date above and, where appropriate, provide notice through the dashboard or by email. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to other agreement, except that either party may seek injunctive relief in any court of competent jurisdiction.
